Terms of Service

These Terms of Service ("Terms") govern your use of Toolend (the "Service") operated by Toolend ("we", "us"). By creating an account or using the Service you agree to these Terms.
1. Eligibility
You must be at least 16 years old and able to enter into a binding contract to use Toolend. By using the Service you represent that you meet these requirements.
2. Your account
- You are responsible for keeping your credentials secure.
- You are responsible for all activity under your account.
- Notify us immediately of any unauthorized use.
- You may delete your account at any time from Settings.
3. Acceptable use
You agree NOT to:
- Use the Service for any illegal purpose.
- Upload content that infringes copyrights, trademarks or privacy of others.
- Attempt to access data of other workspaces you have not been invited to.
- Reverse engineer, scrape or interfere with the Service.
- Send spam or malicious content through invitations.
- Resell access to the Service without permission.
Violation may result in suspension or termination of your account without refund.
4. Your content
You retain all rights to the content (tools, photos, descriptions, history) you upload to Toolend. You grant us a limited license to host, display and process that content solely to operate the Service.
You are responsible for the legality of the content and for having any required consent from people whose data you store (e.g. names of borrowers).
5. Subscriptions and billing
- Paid plans are billed in advance, monthly or annually, in EUR.
- Subscriptions renew automatically until cancelled.
- Cancel anytime from Subscription → Open billing portal.
- Upon cancellation you keep access until the end of the current billing period.
- No refunds for partial periods, except where required by law.
- VAT applies where applicable; LemonSqueezy handles tax collection as Merchant of Record.
- We may change prices with 30 days notice. The new price applies to your next renewal.
6. Free plan
The Free plan is provided as-is and may be limited, modified or discontinued at any time without notice.
7. Workspaces and roles
The workspace owner has full control of the workspace, including the ability to invite, remove members, change plan and transfer ownership. Invited members have access only to the data of the workspaces they have joined.
8. Availability
We aim for high availability but the Service is provided "as available". We do not guarantee uninterrupted operation. Scheduled maintenance and outages of third-party providers may cause downtime.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We are not responsible for damage to or loss of physical tools tracked in the Service, nor for disputes between workspace members and borrowers.
10. Limitation of liability
To the maximum extent allowed by law, our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
11. Termination
You may stop using and delete your account at any time. We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination we will delete your data per our Privacy Policy.
12. Changes to the Terms
We may update these Terms occasionally. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after that constitutes acceptance.
13. Governing law
These Terms are governed by the laws of Spain. Disputes are subject to the exclusive jurisdiction of the courts of the user's residence where required by EU consumer law.
